  • Why Notary Public.

    Certain important contracts require notarization by law. Notarization is, for example, required for real estate transactions, for setting up limited liability companies, transferring shares in limited liability companies, for matrimonial contracts, and other important transactions.   • Languages.

    Language is the bridge between humans. We are happy to do notarizations and certifications in English. For other languages, you have to bring an interpreter or we can help you to find one, just let us know in advance. See here some information in Japanese.

  • Real Estate.

    Real estate transactions are important decisions and must be notarized by law. As Notary public Dr. Anna Zöbeley, I will ensure that the parties’ agreement is valid and enforceable. The notary drafts the purchase contract on the basis of the data provided by the parties to the transaction. The draft is then sent to both parties prior to notarization. On the day of notarization, I must read out the final contract in the presence of the parties, necessary adjustments are made and the contract is signed by all parties and the notary. This procedure may appear very formal, but it is required by law and intended to ensure that the parties are really aware of the obligations they enter into and to give them the chance to ask all questions they might have. However, signing is only the first step. My team and I will handle the related dealings with the relevant authorities. We will, for example, file a priority notice of conveyance (Vormerkung) in the land register (Grundbuchamt), and will make sure encumbrances are deleted and the new financing land charge is registered. We will also be in contact with the finance authority regarding the statutory taxes. Only when the seller is paid and the purchaser’s name is entered in the land register as the new owner is our job completed.

  • Company Law.

    We are providing various services regarding company law maters. For instance, we will design the limited liability company together with you or, if you need things done quickly, send you our starter-kit for establishing a GmbH (German limited liability company, Gesellschaft mit beschränkter Haftung). You will need to fill in the questionnaire with the name of the company, the share capital and the managing directors. Sometimes, you might need to contact the German Embassy or the German Immigration Office in advance. As your notary public Dr. Anna Zöbeley, my team and I will be happy to explain. On the basis of your information, we will provide you with a draft for establishing the company, articles of association and prepare the registration on the commercial register and further documents, if necessary. As soon as the founding of the company is notarized, you will transfer the share capital to the bank account of the newly founded company. After you have given us notice that the share capital has been paid in, we will send the formal electronic request for registration to the commercial register. Since the founding of a company has several legal and tax implications, we recommend that you also consult with your tax adviser and your lawyer.

  • Power of Attorney.

    If you are unable to participate in the notarization, there are several possibilities. Your representative can sign the notarial deed on your behalf. Such an agent needs to have sufficient power of representation. If you already have a power of attorney, we need to check beforehand. Please provide us with this document prior to notarization. If a foreign company is represented, there might be additional requirements. Unfortunately, copies are not sufficient. A *.pdf or a copy needs to be followed up with an original “wet ink” signed document. In most cases, you can also be represented before the notary without a power of attorney and subsequently approve the notarial deed.

    Notarizations under foreign law may require an apostille or legalization to be accepted in other countries. An apostille or legalization guarantees the validity of the foreign notarization.   • Family Affairs.

    My team and I, Dr. Anna Zöbeley, assist with last wills and testaments, pre-nuptial agreements, matrimonial contracts, divorce contracts and adoptions. We can also arrange general powers of attorney, which make sure a trusted person can act for you, for instance in case of a severe illness. Sometimes a neutral adviser can help sort things out even better than a trusted and fair family member. It’s good to know that everything you share with a notary is confidential. Even the fact that you were in our office at all.

  • Mergers and Acquisitions.

    M&A is a core business of notaries. The life-cycle of a company might also require other steps, like mergers, de-mergers, spin-offs or conversions into other legal entities. Sometimes liquidation is also required. My team and I, your notary public Dr. Anna Zöbeley, are happy to assist with corporate housekeeping and further M&A services.

  • Other Services.

  • Commercial Register.

    The commercial register (German Register, Handelsregister) is the official German company register. From a company law perspective, this register is highly relevant. It contains certain, legally defined authoritative information about companies and their representatives. As your notary public Dr. Anna Zöbely, I will check the register every time someone acts for a company, together with my team. For companies from other countries, comparable documents are required by German courts as proof of their existence and the power of representation of the persons acting for a company. Sometimes a certificate by a notary public or scrivener notary is required. We will help you to find out what is required in your case.

  • Statutory Fees. No Extra Costs.

    The notary fees are regulated by law. They are therefore the same for all notaries. The fees are transparent, but they depend on the nature and the value of matter at hand.
